Terms of Use
The terms governing access to and use of the withrelace.com website.
In these Terms, "Relace" means Canopy Software Ltd operating the withrelace.com website, and "the User" means any person or entity that accesses or uses the Site.
1. About these terms
The website withrelace.com (the "Site") is operated by Canopy Software Ltd, a company registered in England and Wales (company number 16601350, registered office 109 Vansittart Road, London, England, E7 0AA).
These Terms of Use ("Terms") govern the User's access to and use of the Site. By accessing or using the Site, the User agrees to these Terms. If the User does not agree, the User should not use the Site.
2. Changes to these terms
Relace may update these Terms from time to time. The version posted on the Site, with its "last updated" date, is the version that applies. The User's continued use of the Site after changes are posted means the User accepts the updated Terms.
3. Using the Site
The User may use the Site for lawful purposes and in accordance with these Terms. Relace grants the User a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for the User's own informational and business purposes.
Relace may change, suspend, or withdraw all or part of the Site at any time without notice. Relace does not guarantee that the Site, or any content on it, will always be available or uninterrupted.
4. Acceptable use
The User agrees not to:
- use the Site in any way that breaches applicable law or regulation, or is fraudulent or harmful;
- attempt to gain unauthorised access to the Site, its servers, or any connected systems, or circumvent any security measures;
- introduce malware, viruses, or other malicious or harmful material;
- scrape, harvest, data-mine, or systematically extract content or data from the Site (including via automated means) without Relace's prior written consent;
- copy, reproduce, republish, or redistribute Site content except as expressly permitted;
- reverse engineer, decompile, or attempt to derive source code from any part of the Site except to the extent this restriction is prohibited by law;
- use the Site to transmit unsolicited communications; or
- do anything that damages, disrupts, or places an unreasonable load on the Site or its infrastructure.
Relace may suspend or terminate the User's access to the Site if the User breaches these Terms.
5. Intellectual property
All content on the Site, including text, graphics, logos, designs, and the "Relace" name and branding, is owned by or licensed to Canopy Software Ltd and is protected by intellectual property laws. Except as expressly permitted in these Terms, the User may not use, copy, or exploit any of it without Relace's prior written permission. All rights not expressly granted are reserved.
6. User content and feedback
The Site is an information and marketing website and is not intended for the User to upload or post content. However, if the User sends Relace any content, materials, ideas, suggestions, or feedback through the Site, the contact form, or otherwise (together, "Submissions"), the following applies:
- the User confirms that the User is entitled to provide the Submission and that it does not infringe the rights of any third party or breach any law;
- the User grants Relace a perpetual, irrevocable, worldwide, non-exclusive, royalty-free and sub-licensable licence to use, store, copy, adapt, publish, and otherwise exploit the Submission for any purpose connected with Relace's business, including operating, promoting, and improving its products and services; and
- Relace may use any feedback, ideas, or suggestions the User provides without any obligation, payment, or attribution to the User, and is not required to treat them as confidential.
This clause does not change how Relace handles any personal data contained in a Submission, which is dealt with in the Privacy Notice.
7. No advice or reliance
The content on the Site is provided for general information only about Canopy Software Ltd and the Relace platform. It does not constitute, and must not be relied upon as, legal, regulatory, compliance, financial, investment, tax, or other professional advice, and nothing on the Site should be treated as a substitute for advice from a suitably qualified professional.
In particular, and because the Relace platform is used in regulated environments, the User must not rely on any content on the Site to meet, interpret, assess, or discharge any regulatory or compliance obligation. The User remains solely responsible for the User's own regulatory and compliance decisions and should obtain the User's own professional advice before taking, or refraining from, any action based on the Site's content.
Nothing on the Site creates a professional, advisory, or fiduciary relationship between the User and Relace. While Relace takes reasonable care to keep the Site's content accurate and up to date, it makes no representations or warranties that it is accurate, complete, current, or fit for any particular purpose.
8. The Relace product is governed by separate terms
The Site is a marketing and information website. Access to and use of the Relace platform and service is provided only under a separate written agreement between Relace and the relevant customer (including any subscription terms and Data Processing Agreement). Nothing on the Site, and nothing in these Terms, constitutes an offer to provide the Relace service or forms a contract for its supply.
9. Third party links
The Site may contain links to third party websites or resources. Relace provides these for convenience only and does not endorse or take responsibility for their content, products, or practices. Accessing third party sites is at the User's own risk and subject to their terms.
10. Disclaimers
The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Relace excludes all representations, warranties, conditions, and terms, whether express or implied, relating to the Site or its content, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
Nothing in these Terms excludes or limits Relace's liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under English law.
Subject to the above, and to the fullest extent permitted by law:
- Relace excludes all liability for any indirect or consequential loss, loss of profits, loss of business, loss of goodwill, or loss of data arising out of or in connection with the User's use of (or inability to use) the Site; and
- Relace's total aggregate liability arising out of or in connection with the Site and these Terms is limited to £100.
Relace is not liable for any loss or damage caused by a virus or other technologically harmful material that may infect the User's equipment as a result of using the Site.
12. Indemnity
The User agrees to indemnify Relace against any losses, liabilities, costs, and expenses Relace reasonably incurs arising from the User's breach of these Terms or the User's unlawful or unauthorised use of the Site.
13. Privacy and cookies
Relace's use of personal data collected through the Site is described in the Privacy Notice, which forms part of the User's use of the Site.
14. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes), are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that Relace retains the right to bring proceedings in the courts of the country where the User is based.
15. General
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in effect.
- Relace's failure to enforce any right or provision is not a waiver of it.
- These Terms are the entire agreement between the User and Relace regarding use of the Site.
- Relace may transfer its rights and obligations under these Terms to another organisation. The User may not transfer the User's rights without Relace's consent.
